Description of services
Argo Translation, as an independent contractor, will provide the services listed in the issued proposal.
Scheduled completion date
As per the issued proposal. Argo Translation shall make every effort to complete service(s) by the above date, but shall not be responsible for delays in completion caused by events beyond Argo Translation's control.
Method of delivery
As per the issued proposal.
a. Fee for services
Client agrees to pay the amount shown on the issued proposal as Argo Translation's fee for services. Payment of fees and costs under this Agreement shall be made as detailed in the issued proposal. If no payment schedule is defined above, payment terms will be as stated in the issued proposal. A late payment fee as specified in the issued proposal will be added to all overdue invoices.
b. Cancellation or withdrawal by Client
If Client cancels or withdraws any portion of the Source Document(s)/material prior to Argo Translation's completion of the service(s), then, in consideration of Argo Translation's scheduling and/or performing said service(s), Client shall pay Argo Translation the portion of the above fee represented by the percentage of total service(s) performed, but in any event not less than 50% of said fee.
c. Additional fees
Additional fees will be applied in the event the following additional services are required, but only if Argo Translation has apprised Client of, and Client has approved, such additional fees in writing: (1) investigation, inquiry, or research beyond that normal to a routine translation is required because of ambiguities in the item(s) to be translated; (2) additional services are required because Client makes changes in the item(s) to be translated after the signing of this Agreement; and (3) Argo Translation is requested to make changes in the translation after delivery of the translation, because of Client's preferences as to style or vocabulary, and such changes are not required for accuracy.
d. Additional costs
Client shall reimburse Argo Translation for necessary and reasonable out-of-pockets expenses incurred by Argo Translation that are not a normal part of routine translation procedure, such as overnight document delivery service requested by Client, excessive long distance telephone and telefax expenses, and travel expenses, but only if Argo Translation has apprised Client of, and Client has approved, such expenses in writing.
e. Client / in-country review of translation
Inspection of Argo Translation's work by the client's designated qualified expert(s) must be negotiated prior to acceptance of the issued proposal in regard to the scope, timing and purpose of the review. Upon receipt of the translation from Argo Translation, Client and/or its in-country affiliate(s) shall promptly review it, and notify Argo Translation in writing within the time allotted in the issued proposal of any required corrections or changes. Unless otherwise negotiated at time of the issued proposal, Argo Translation shall allow for one cycle of expert approval of all translation work. If no client review time is allotted within the issued proposal, the client must inform Argo Translation within fourteen (14) days after delivery of the translation of any required corrections or changes. Acceptable changes that result from client review include: (1) mistranslations, (2) missing translations, (3) spelling or grammatical errors, (4) non-conformance with style guides, guidelines and terminology databases or glossaries provided to Argo Translation by the client, or developed by Argo Translation and approved by the client. Unacceptable changes stemming from client review are: (i) changes to the meaning of the original text; (ii) making preferential changes; (iii) contradicting previously approved translations, terminology or style guides; (iv) contradicting generally accepted industry, locale, or user standards; (v) introduction of grammatical or factual errors.
f. Confidentiality
The Source Document(s), and all knowledge and information expressly identified by Client in writing as confidential which Argo Translation acquires during the term of this Agreement, shall be maintained in confidentiality by Argo Translation and, except as expressly authorized by Client in writing, shall not be divulged or published by Argo Translation and shall not be authorized by Argo Translation to be divulged or published by others. Confidential information for purposes of this paragraph shall not include the following: Information, which is or becomes available to the general public, provided the disclosure of such information did not result from a breach by Argo Translation of this paragraph.
g. Glossary and database ownership
Terminological glossary entries (this includes translation memory) compiled by Argo Translation in the course of Argo Translation's performance of the translation service under this Agreement shall be the property of the client.
h. Client property and copyright
Argo Translation hereby acknowledges that Client owns the Source Document and all proprietary rights therein, including, without limitation, all copyrights. Argo Translation also acknowledges that the Translations are derivative works of the Source Document and that Client will own the Translations and all proprietary rights therein, including, without limitation, all copyrights. Argo Translation hereby assigns all its rights in the Translations to Client. Argo Translation has no obligation to take any steps to protect any copyright, trademark or other right of Client with respect to the Translations, except as may be expressly otherwise provided in this Agreement. Notwithstanding the foregoing, Argo Translation shall have the right to retain file copies of the Source Document and of the Translations, subject to the provisions of the Confidentiality section above.
i. Indemnification and hold-harmless by Client
Client agrees to indemnify and hold Argo Translation harmless from any and all losses, claims, damages, expenses or liabilities (including reasonable attorneys' fee) which Argo Translation may incur based on information, representations, reports, data or product specifications furnished, prepared or approved by Client for use by Argo Translation in the work performed under this Agreement.
j. Argo Translation warranties
Argo Translation warrants that (i) it will perform services with reasonable care and skill at least equal to that considered standard in the translation industry and (ii) at no additional charge; it will correct all translation errors brought to its attention within 180 days of delivery of the Translations to Client. This warranty covers (1) missing deliverables or parts of deliverables, and/or deliverables with broken functionality (as compared to that of the corresponding source materials); (2) factual, grammatical, and typo and orthographical errors in translation; and (3) missing translation.
k. Indemnification and hold-harmless by Argo Translation
Argo Translation agrees to indemnify and hold Client harmless from any and all losses, claims, damages, expenses or liabilities (including reasonable attorneys' fee) which Argo Translation may incur based on any assertion of moral rights (personal rights associated with authorship of a work under applicable law) in the Translations by any author thereof.
l. Responsible use of Artificial Intelligence (AI)
Argo Translation employs AI technologies solely to enhance the efficiency and quality of its translation services, always under the supervision of qualified linguists, unless otherwise agreed upon. When AI tools are used, they are applied in accordance with the scope outlined in the issued proposal and in a manner that upholds the standards of accuracy, confidentiality, and data security expected in the translation industry. Argo Translation commits to the following principles regarding AI use:
Client-Specific Data Usage: Any Translation Memory (TM), glossary, or linguistic assets provided by the Client or developed during the course of a project are used exclusively to support that Client's translations and are not shared, sold, or used to train generic AI models or services outside the Client's projects.
Human Oversight: All AI-assisted translations are reviewed and validated by qualified human linguists to ensure linguistic quality, cultural relevance, and alignment with Client expectations, unless the Client specifically approves an AI-only service level, which is clearly outlined in the project scope.
Translation Quality Assurance: Client-provided glossaries, reference materials and style guide (if applicable) will be followed. The human linguist will ensure:
- No information has been added or omitted,
- No inappropriate content appears,
- No information is incorrect,
- Correct grammar, syntax and semantics,
- Adherence to client and/or domain terminology (if glossary has been created and applicable),
- Spelling, punctuation and hyphenation rules are followed, and,
- Style is appropriate and guidelines observed (if applicable).
Transparency: Upon request, Argo Translation will disclose when AI tools are used in a project and the scope of such use.
Confidentiality and Security: AI tools used by Argo Translation are configured to ensure that Client content is not retained or used to improve third-party systems, and all content processed through AI is handled in strict adherence to the confidentiality terms outlined in the Confidentiality section above.
m. Data security, encryption, and hosting
Argo Translation processes Client content using a SOC 2 Type II certified translation management system ("TMS") hosted on enterprise-grade cloud infrastructure (Amazon Web Services). All Client data is encrypted in transit using TLS/SSL and at rest using AES-256 server-side encryption. Cryptographic keys are stored separately from encrypted data and are generated using NIST FIPS 140-2 compliant standards. By default, Client data resides in the United States (AWS US-East), with a secondary cluster in the European Union (AWS EU-West); alternative data residency is available upon written request.
n. AI and Large Language Model data handling
When machine translation (MT) or large language model (LLM) features are enabled with the Client's consent, Argo Translation uses enterprise-grade providers that contractually guarantee that submitted content is not used to train their models, is encrypted at rest, is retained solely for abuse-monitoring purposes for a maximum of thirty (30) days, and is not shared with third parties. The models employed are stateless by design and do not retain Client content beyond the immediate processing session. Where required, Argo Translation can route requests through a Client-supplied private LLM endpoint at the Client's election. If the Client prefers that no MT or LLM technology be applied to its content, the Client may opt out in writing, and Argo Translation will process the content using human-only workflows.
o. Access control and personal data
Access to Client content is granted on a least-privilege, need-to-know basis. Access to underlying infrastructure is restricted to a limited number of senior personnel and is protected by RSA key authentication, multi-factor authentication, and IP allow-listing. Role-based permissions within the TMS are configurable by the Client. The only personal data Argo Translation requires to operate the TMS is the name and email address of users the Client authorizes; any additional personal data introduced into source content is processed solely for the purpose of providing the contracted services and in accordance with applicable data protection laws, including GDPR and CCPA where applicable.
p. Data retention, portability, deletion, and audit logs
Translation memory and related linguistic assets are retained for the life of the engagement. Source and target files are retained per the retention schedule agreed in the issued proposal (default twelve (12) months). Upon written request, the Client may obtain a full export of its data and request deletion, in which case Argo Translation will provide a deletion certificate confirming removal from production systems within the timeframes required by applicable law. Comprehensive event logs are maintained for all Client data activity; logs covering the prior three (3) months are available to the Client at no charge upon request, and extended log retrieval is available upon request.
q. Changes by others
Argo Translation shall have no responsibility whatsoever as to any changes in the Translations made by persons other than Argo Translation.
r. Complete agreement
This Agreement is the complete agreement of the parties as to the subject matter hereof and supersedes all project proposals, purchase orders and other documents pertaining hereto. Any changes in this Agreement must be in writing and signed by both parties. This Agreement may be signed in counterparts, each of which shall be deemed an original, but which together shall constitute one and the same instrument.
s. Governing law
This Agreement shall be governed by the laws of the State of Illinois.
